Please read these Terms and Conditions carefully before using ROS (Restaurant Operating System) provided by omney.tech. By accessing or using the platform, you agree to be bound by these terms.

1. Definitions

In these Terms, the following words have the following meanings:

  • “Platform” means the ROS (Restaurant Operating System) software and services provided by omney.tech, including all web applications, APIs, and associated services.
  • “Customer” / “You” means the restaurant business or individual entering into this agreement with omney.tech.
  • “omney.tech” / “We” means the company operating the ROS platform.
  • “End User” means the restaurant's customers who interact with the Platform through ordering channels (WhatsApp, QR code, etc.).
  • “Services” means all features and functionality offered through the Platform, including POS, KDS, ordering integrations, and analytics.

2. Acceptance of Terms

By registering for, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

ROS provides a Restaurant Operating System comprising:

  • WhatsApp ordering bot integration via Meta's Business API
  • QR code-based table ordering
  • Kitchen Display System (KDS)
  • Point of Sale (POS) system
  • Partner/restaurant management dashboard
  • Delivery management and tracking
  • Menu and inventory management
  • Staff and role management
  • Payment processing integration (Razorpay)
  • Customer order portal
  • Analytics and reporting
  • REST API access

We reserve the right to modify, suspend, or discontinue any feature or Service at any time with reasonable notice.

4. Account Registration & Security

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use of your account
  • Ensuring all users on your account comply with these Terms

You must not share account credentials with individuals outside your organisation or use the Platform for purposes other than managing your restaurant operations.

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable law or regulation
  • Transmit any unlawful, defamatory, obscene, or harmful content
  • Infringe any intellectual property rights of omney.tech or third parties
  • Attempt to gain unauthorised access to the Platform, its systems, or other users' data
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Use the Platform in a manner that could damage, disable, or impair the Platform's availability
  • Collect or harvest personal data from other users without consent
  • Circumvent any security or access control measures

6. Data & Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your data and your customers' data. By using the Platform, you consent to our data practices as described in the Privacy Policy.

You remain the data controller for your customers' personal data processed through the Platform. You are responsible for complying with applicable data protection laws, including obtaining necessary consents from your End Users.

7. Payment Terms

Subscription fees, if applicable, are charged as described in your subscription agreement or pricing page. All fees are:

  • Stated in Indian Rupees (INR) unless otherwise specified
  • Non-refundable except as described in our Refund Policy
  • Subject to applicable GST and other taxes, which will be added to the invoice

We use Razorpay as our payment processor. Your payment information is handled according to Razorpay's terms and PCI-DSS standards. We do not store complete card details on our servers.

Failure to pay applicable fees may result in suspension or termination of your account.

8. Intellectual Property

The Platform, including all software, design, trademarks, logos, and content, is the exclusive property of omney.tech or its licensors and is protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your internal business purposes.

You retain ownership of your own data (menus, orders, customer information) uploaded to or created within the Platform.

9. Third-Party Services

The Platform integrates with third-party services including:

  • Meta WhatsApp Business API - governed by Meta's Terms of Service
  • Razorpay - governed by Razorpay's Terms of Service
  • Delivery providers - governed by respective provider terms

We are not responsible for the availability, functionality, or policies of third-party services. Your use of such services is at your own risk.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for any third-party integrations, including WhatsApp service availability or payment gateway downtime.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNEY.TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS - ARISING FROM YOUR USE OF THE PLATFORM.

Our total cumulative liability for any claims under these Terms shall not exceed the total fees paid by you to omney.tech in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless omney.tech and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content or data you upload or transmit through the Platform

13. Termination

Either party may terminate this agreement upon written notice. We may suspend or terminate your access immediately if:

  • You breach any provision of these Terms
  • You fail to pay applicable fees
  • We believe your use poses a security or legal risk

Upon termination, your right to access the Platform ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.

14. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or platform notification with at least 14 days' notice before the new Terms take effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
